Terms & Conditions

The framework behind every project: clear, fair, and built to protect both of us while we work together.

01 Applicability

1.1 These Terms & Conditions apply to all services, proposals, discussions, and agreements between Wu Cares ("I", "me", "my") and my clients.

1.2 Any amendments or additions to an agreement are only valid if they are made in writing and signed by both parties.

1.3 "Client" refers to the individual or organization entering into an agreement with me, including its legal successors.

1.4 If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

02 Forming an Agreement

2.1 All quotations and proposals are non-binding unless a validity period is expressly stated. If you accept a non-binding quotation, I reserve the right to withdraw it within two business days.

2.2 If you withdraw an assignment before I have accepted it, you are responsible for reimbursing any reasonable costs incurred in preparing the proposal.

2.3 An agreement is concluded once it has been confirmed in writing by both parties or when I have started carrying out the work.

2.4 If someone enters into an agreement with me on your behalf, I may reasonably assume they are authorized to do so.

03 Changes to the Assignment

3.1 Any requested changes to the assignment must be submitted to me in writing and in a timely manner.

3.2 Changes only become effective after I have confirmed them in writing.

3.3 Additional costs resulting from changes to the assignment are generally the responsibility of the client.

3.4 Approved changes may affect previously agreed timelines or delivery dates.

04 Documentation

4.1 I keep records of meetings, agreements, and project progress. If I send you a summary and you do not respond within four business days, I will assume that its contents are accurate and accepted.

05 Quotations & Estimates

5.1 I will provide a quotation outlining the scope of work and estimated costs.

5.2 The quotation specifies the expected costs per assignment and any anticipated additional expenses.

5.3 Costs that cannot reasonably be estimated in advance may be charged afterwards on a fair and reasonable basis.

5.4 Estimates may be adjusted if circumstances change during the project.

5.5 I may exceed the quoted amount by up to 10% without prior consultation.

5.6 You are requested to approve the quotation within five business days. If no response is received, I may assume that you agree with the quotation.

5.7 If you request that work begins before the quotation has been formally approved, I reserve the right to charge reasonable costs for the work performed, even if these were not yet included in the quotation.

06 Pricing

6.1 All prices are exclusive of VAT, shipping, transportation, and postal charges unless stated otherwise.

6.2 If external costs increase after a quotation has been issued, I reserve the right to pass those additional costs on to you.

07 Performance & Delivery

7.1 I will perform the agreed services to the best of my professional ability and in accordance with the agreed scope.

7.2 Preliminary research, concept development, and exploratory work required to produce a final proposal are considered part of the agreed services.

7.3 Unless agreed otherwise, services and goods are deemed delivered from my place of business.

7.4 Ownership of delivered goods transfers to you once full payment has been received and delivery has taken place. From that moment onward, the risk also transfers to you.

08 Planning & Delivery Times

8.1 Delivery dates are estimates and should not be considered strict deadlines unless explicitly agreed otherwise in writing.

8.2 If delivery is delayed, you may only claim compensation if a specific written deadline has been agreed in advance.

8.3 Even in such cases, my liability is limited to the amount invoiced for the assignment.

09 Payment

9.1 Invoices are payable within fourteen (14) days of the invoice date.

9.2 If payment is overdue, interest of 2% per month may be charged, in addition to any reasonable collection costs incurred.

9.3 You may not withhold payment or offset invoices unless you are legally entitled to do so.

10 Liability

10.1 If either party causes damage to the other, the responsible party shall compensate that damage.

10.2 My liability is limited to the amount invoiced for the relevant assignment and shall never exceed the amount covered by my insurance, where applicable.

10.3 Any claim regarding an error or defect must be reported within thirty (30) days after discovery. Failure to do so may result in the loss of any right to compensation.

11 Force Majeure

11.1 In the event of force majeure—including but not limited to war, pandemics, natural disasters, or government measures—I may suspend or terminate the agreement without liability for damages.

11.2 Force majeure does not automatically entitle the client to terminate the agreement.

12 Disputes & Governing Law

12.1 In the event of a dispute, both parties will first make every reasonable effort to resolve the matter amicably.

12.2 If no resolution can be reached, disputes shall be submitted to the competent court in the Netherlands.

12.3 These Terms & Conditions are governed exclusively by Dutch law.

13 Creativity & Originality

13.1 At Wu Cares, I strive to create original work. I warrant that the creative work I produce is my own and that I possess the necessary rights to use and deliver it as agreed within the assignment.

14 Promotional Use

14.1 Without affecting the rights granted to the client, I reserve the right to use completed work for my own portfolio, marketing, and promotional purposes. If the client has not yet publicly launched or used the design, I will request permission beforehand, which shall not be unreasonably withheld.

15 Termination of the Assignment

15.1 If the client withdraws an assignment, all costs incurred up to that point, including fees for work performed, become immediately payable.

15.2 If unforeseen circumstances make completion of the assignment reasonably impossible, I reserve the right to terminate the assignment while remaining entitled to compensation for work already completed.

15.3 In the event of bankruptcy or suspension of payment by either party, the other party may terminate the agreement immediately, without prejudice to Article 15.1.

16 Cancellation Fee

16.1 If an assignment is cancelled after work has commenced, the client shall compensate me for the work completed according to the following schedule:

  • 25% of the total project fee after work has commenced.
  • 50% after the first presentation or delivery.
  • 75% once the project has entered the final production phase.

Any external costs incurred in relation to the project will also be charged in full.

17 Transfer of Materials

17.1 Materials relating to the assignment will only be transferred to the client once all outstanding financial obligations towards Wu Cares have been fulfilled.

18 Indemnity, Liability & Limitation of Damages

18.1 The provisions regarding indemnity, liability, and limitation of damages as described in the original agreement apply in full where relevant.

19 Confidentiality

19.1 I treat all confidential information received from the client as strictly confidential and will not disclose it to third parties unless required by law or agreed otherwise.

20 Assignment of Rights & Obligations

20.1 Rights and obligations arising under these Terms & Conditions may not be transferred to third parties without the prior written consent of both parties.

21 Governing Law & Jurisdiction

21.1 These Terms & Conditions are governed by Dutch law.

21.2 Any disputes shall be submitted to the competent court in the judicial district where Wu Cares is established.

These Terms & Conditions are intended to provide a clear and accessible framework for working together while preserving their legal intent.
